1. Terms of Agreement

LAINE Q PTY LTD T/AS SOVEREIGN NEEDLEWORK, hereinafter known as SOVEREIGN NEEDLEWORK (ABN 15 151 097 611) is a registered Business and operates in Australia. When you use our website to place an order with us, these Terms and Conditions of Trade will constitute our terms of agreement between you (“the customer”) and us (SOVEREIGN NEEDLEWORK). It is your responsibility to carefully read these Terms and Conditions of Trade before using this website or doing business directly with SOVEREIGN NEEDLEWORK. Use of the SOVNEEDLE.COM.AU website will be considered acceptance of our terms and conditions and privacy policy. If you do not agree to the SOVEREIGN NEEDLEWORK Policies, then you may not use the website. Please note that SOVEREIGN NEEDLEWORK has the right to modify the SOVEREIGN NEEDLEWORK Policies and it is your responsibility to review them periodically.

2. Definitions
“Terms and Conditions of Trade” means the standard terms and conditions of business set out in this document.
“Customer” means the person or business, or their authorised representative who has placed the order and is communicating with SOVEREIGN NEEDLEWORK.
“Goods” means the goods or services which SOVEREIGN NEEDLEWORK is to sell in accordance with these Terms and Conditions of Trade.
“Order” means the Customer’s order for Goods or services.
“Price” means the price together with postage and packing in force at the date and time of the Order, subject to any promotional offer or discount then applicable.
“The website” refers to www.SOVNEEDLE.COM.AU and affiliated domains.
“Writing” includes, letters, emails or texts that have been acknowledged to have been received.

3. Conditions of Sale
All Goods or promotions offered for sale are subject to availability and subject to SOVEREIGN NEEDLEWORK accepting the Order. SOVEREIGN NEEDLEWORK may refuse to accept an order for any reason by notice to you, the customer. SOVEREIGN NEEDLEWORK reserves the right to remove a Customer’s artwork, templates or delete their account in the event of offensive, explicit or illegal material being uploaded to SOVNEEDLE.COM.AU in accordance with the current Australian Communication legislation.
A Customer may place an order for goods and services through the website, via email, telephone, post or in person with an authorised SOVEREIGN NEEDLEWORK Representative.
This order can be confirmed in writing either via our website, in an email or on an official business purchase order. We cannot proceed with any order unless appropriate written approval has been given. It is not the responsibility of SOVEREIGN NEEDLEWORK to ascertain a customer’s level of authority within their own business and it is the responsibility of the customer to obtain all required approvals internally in line with their own internal policies.
All communication to you, the customer will be in writing to confirm any alterations, or changes to your order along with any special conditions and instructions.
SOVEREIGN NEEDLEWORK cannot accept orders for delivery outside Australia at this time. You may place an order from overseas to be delivered within Australia.
SOVEREIGN NEEDLEWORK is continually developing its products, services and other items offered for sale. We reserve the right to amend the products offered, specifications of any of the Goods, and pricing without prior notice on the public site SOVNEEDLE.COM.AU. Customers with private stores will be contacted and consulted in relation to planned changes.
Estimates are valid for 30 days only and the offer to extend the quoted price is at the discretion of SOVEREIGN NEEDLEWORK. We reserve the right to revisit a quoted item if a legitimate error has been made or the specifications of the item quoted do not meet the specifications of the job ordered. Artwork submitted must also meet the required specifications to avoid further costs to amend errors made by the customer.
We do not offer credit to online customers. Payment may be made by PayPal, Credit card or by EFT prior to commencement of production. SOVEREIGN NEEDLEWORK credit policy is that long established Company’s that centralise control of their accounting may apply for a credit account in order to trade with SOVEREIGN NEEDLEWORK. Management reserves the right to provide or decline credit to any customer. Our credit terms are strictly 7 days from date of invoice. Vouchers are valid until the date on the voucher, can be used only once and are not valid with any other offer.
SOVEREIGN NEEDLEWORK reserves the right to refuse the use of a voucher in a fair and reasonable manner.

4. Order Specifications and Artwork
Order specifications are included in the order details when an order is placed online. Our team endeavour to catch any inconsistencies, errors or unusual aspects of your order and bring them to your attention, however it is your responsibility to ensure that what you are ordering meets your requirements. Confirmation emails will be sent giving ample opportunity to check your order details before the order proceeds to production.
Supplied Artwork or submission of one of our Website Templates must meet our required standards for printing as set out in our artwork guidelines on our website. It is your responsibility to check all supplied artwork to ensure that spelling, information and colour representation meets your approval. Whilst all care is taken in a Pre-Press department we cannot be responsible for errors contained within supplied or submitted artwork. It is also the responsibility of the Customer to ensure that all images, copy and information supplied is in accordance with Australian Copyright Laws.
Where SOVEREIGN NEEDLEWORK is charged with providing artwork, we endeavour to provide an accurate estimate on time to design or provide artwork on an individual project basis. Our standard hourly rate of $75 plus GST applies to all construction of artwork and individual elements, concepting, alterations and final printing preparation. During the process various proofs will be emailed for checking and approval to proceed. It is your responsibility to check all proofs to ensure that spelling and information is correct. Whilst all care is taken in our Pre-Press department, it is ultimately your responsibility to approve the artwork piece for print.

Proofs are supplied as PDF’s via email as default. Proofing colours on your computer monitor, or your desktop printer may not be appropriate as every monitor is calibrated differently and every desktop printer varies in colour quality. SOVEREIGN NEEDLEWORK uses the latest technology to ensure our equipment is calibrated to comply with industry norms and standards. If colour accuracy is a vital aspect of your job then please discuss this with the artwork team during the artwork approval process. The cost and availability of a proof will depend upon the product ordered.

5. Pricing and Payment
SOVEREIGN NEEDLEWORK reserves the right to alter pricing on the products offered on our retail site without notice. Customers with Private Stores will be given a minimum of 30 days notice of any impending price rises and these price alterations will be discussed directly with the nominated contact person. Orders that are in progress will have their pricing held for 30 days or by negotiation on an individual basis. The Customer shall be responsible for all applicable taxes, delivery and artwork costs as stated at the time of placing an order. Payment must be made by Paypal, credit or debit card or by EFT. Production will not commence until payment has been received in full by SOVEREIGN NEEDLEWORK.

6. Delivery and Turnaround
The place for delivery of the Goods will be as shown on the Order and the normal method of delivery (unless specifically agreed otherwise) shall be regular postage or on some occasions by a known courier service. It is your responsibility to arrange alternative collection or delivery of an item if it is deadline critical and there are consequences that will arise as a result of not receiving your product. SOVEREIGN NEEDLEWORK cannot be held responsible for our carrier’s inability to deliver the goods to the address provided and are bound by the terms and conditions of their cartage service. SOVEREIGN NEEDLEWORK cannot be held responsible for deliveries that fall outside Australia Post’s delivery schedule guidelines.
SOVEREIGN NEEDLEWORK will endeavour to process the Order within the time period stated for each item. Turnaround timeframe commences from 8am on the morning of a regular business day following the day your order was received, paid for and approved. If you place an order with approved artwork and payment at 4am in the morning, it will make our 8am cut off time. The dispatch date is the last day of the estimated delivery time. Delivery times from SOVEREIGN NEEDLEWORK to you, the customer will vary depending upon your location. Because manufacturing time varies by item. SOVEREIGN NEEDLEWORK reserves the right to combine items into one shipping package or to ship items separately. SOVEREIGN NEEDLEWORK reserves the right to part deliver an order in negotiation with the customer to meet a required deadline. While it is our policy to never miss a deadline, SOVEREIGN NEEDLEWORK cannot be held responsible for any liabilities as a consequence of an item not being dispatched or delivered by your required date. SOVEREIGN NEEDLEWORK will undertake to communicate all delivery issues and timeline negotiations directly with you during the ordering process.
On receipt of the goods, the Customer must inspect the Goods on delivery and, in the case where Goods have been delivered by carrier, sign the required proof of delivery document or collection acceptance document. A signature on that document will constitute conclusive evidence against the Customer of receipt of the quantity of Goods indicated on that document free from any apparent defect or damage. Any discrepancy in the orders should be reported to the SOVEREIGN NEEDLEWORK administration team immediately. Claims beyond 72 hours will not be entered into. In the unlikely event that your order arrives damaged, or defective on delivery, a description of the alleged damage or defect must be given in writing at the time of delivery and the damaged package must be photographed to show its damaged state. SOVEREIGN NEEDLEWORK will undertake to resolve any issues in relation to damaged or defective goods in a timely and satisfactory manner.
Risk of damage to or loss of the Goods will pass to the Customer on delivery at the agreed address. With respect to approved account customers, title of the goods shall not pass to the Customer until all payments have been received by SOVEREIGN NEEDLEWORK in full.

7. Returns, Refunds and Rights of Cancellation
The Customer shall not cancel an order once production has commenced. Production relates to elements ordered to complete the job including stock ordered or services rendered. In the unlikely event of an order requiring cancellation please contact SOVEREIGN NEEDLEWORK immediately. All charges already incurred by SOVEREIGN NEEDLEWORK will be deemed payable including artwork and services already utilised. The balance of amounts paid will be refunded less the incurred expenses. Any items of Goods which are returned by the Customer to SOVEREIGN NEEDLEWORK must be returned in their original packaging and must be in an unused condition.
SOVEREIGN NEEDLEWORK is customer service focussed and we undertake to achieve satisfaction during all aspects of the ordering process. All claims or disputes will be handled in a timely, reasonable and fair manner.

8. Limitation of Liability
SOVEREIGN NEEDLEWORK will not be liable for short delivery or defective Goods unless a claim is notified to SOVEREIGN NEEDLEWORK within 72 hours of receipt of goods. The notification must include the Order confirmation number, delivery note number and details of the claim. In the case of a valid claim, SOVEREIGN NEEDLEWORK may, in its sole discretion, replace the Goods (or the part in question) or refund to the Customer the Price (or an appropriate proportion of the Price). SOVEREIGN NEEDLEWORK will not be liable in any way for loss, damage, costs or expenses (including loss of profit) arising directly or indirectly from any failure or delay in performing any obligation of Order by reason of any event or circumstance outside the reasonable control of SOVEREIGN NEEDLEWORK, including (but not limited to), any strikes, industrial action, failure of power supplies or equipment, government action or Act of God. The liability of SOVEREIGN NEEDLEWORK, its agents, employees, subcontractors and suppliers with respect to any and all claims arising out of the performance or non-performance of SOVEREIGN NEEDLEWORK obligations in connection with the use of the information provided in the order, or the rendition of services hereunder, whether based on warranty, contract, negligence, strict liability or otherwise, shall not exceed, in the aggregate, the net purchase price (excluding taxes and freight) for such products or services. In no event shall the liability include damages for loss of profits or revenue; increased cost of purchasing or providing materials, supplies or services; cost of replacement capital; claims of purchaser’s customers; inventory or use charges; or incidental or consequential damages of any nature. This limitation of liability section shall prevail over any conflicting or inconsistent provision contained in any of the documents comprising these terms and conditions.
It is up to the Customer to take precautions to ensure that whatever computer equipment and/or software selected for use is free of such items as viruses, worms, Trojan horses and other items of a destructive nature. In no event will SOVEREIGN NEEDLEWORK be liable to the Customer or any other associated party from any direct, indirect, special or other consequential damages for any use of the SOVNEEDLE.COM.AU website, or any other hyper linked website, including without limitation, any lost profits, business interruption, loss of programs or other data on the Customer’s information handling system or otherwise.

9. Intellectual Property & Copyright
SOVNEEDLE.COM.AU is operated by SOVEREIGN NEEDLEWORK . Unless otherwise noted in this website, SOVEREIGN NEEDLEWORK owns the copyright or the licence to use all content on the website. Content includes: text, images, graphics, logos, audio or video clips, trade marks, and marketing offers, vouchers and promotions. All rights to content, services, and server information are reserved. Any unauthorised use or modification made to the content of this website by a third party is a violation of SOVEREIGN NEEDLEWORK copyright. Additionally, the SOVNEEDLE.COM.AU website may contain other proprietary notices and copyright information, the terms of which must be observed and followed.
Nothing contained on the website should be construed as granting, by implication, or otherwise, any license or right to use the website or any information displayed on the website, through the use of framing or otherwise, except: (a) as expressly permitted by these Terms and Conditions of Trade; or (b) with the prior written permission of SOVEREIGN NEEDLEWORK or the prior written permission from such third party that may own the trademark or copyright of information displayed on the website.
The Customer agrees that as an express condition of the holding of an account with SOVEREIGN NEEDLEWORK the Customer shall not use the service offered by SOVEREIGN NEEDLEWORK to infringe the intellectual property rights of others in any way, including any intellectual property rights in images, fonts and the like that may be uploaded by the Customer to SOVEREIGN NEEDLEWORK online service. The Customer will be solely and fully responsible for any claims or other losses arising out of the Customers actual or alleged infringement of any such rights. In addition (and without limitation), SOVEREIGN NEEDLEWORK reserves the right, with or without notice, to terminate forthwith the account of any Customer who infringes (or who is alleged to have infringed) the copyrights or other intellectual property rights of any third party in accordance with Australian Copyright Law and to remove all such infringing (or allegedly infringing) material from the website. SOVEREIGN NEEDLEWORK reserves the right to withdraw offensive, explicit or illegal material uploaded to the site and terminate forthwith the account of the Customer uploading offensive, explicit or illegal material in accordance with Australian Communication legislation.

10. Data Protection
SOVEREIGN NEEDLEWORK undertakes to process all personal data obtained by it through use of the website in accordance with its Privacy Policy and the principles provided by law. Please see the SOVEREIGN NEEDLEWORK Privacy Policy for more information.

11. General and Miscellaneous
Because public networks, such as the internet, occasionally experience disruptions, SOVEREIGN NEEDLEWORK cannot guarantee the website will be available 100% of the time. Although SOVEREIGN NEEDLEWORK strives to provide the most reliable website possible, interruptions and delays in accessing the website are unavoidable and SOVEREIGN NEEDLEWORK disclaims any liability for damages resulting from such problems.
Information on the website may contain technical or typographical errors. SOVEREIGN NEEDLEWORK undertakes to make its descriptions as accurate as possible, but does not warrant that the content of the website is error-free.
SOVEREIGN NEEDLEWORK grants to the Customer a personal, limited, non-exclusive, and non-transferable right to access and use the content on the website solely for the purpose of purchasing Goods or other services provided through the site. All use must be in accordance with SOVEREIGN NEEDLEWORK Policies, including the Privacy Policy.
A link to a third party website does not mean that SOVEREIGN NEEDLEWORK endorses or accepts any responsibility for the content or the use of such website. It is up to the Customer to take precautions to ensure that whatever it selects for its use is free of such items as viruses, worms, Trojan horses and other items of a destructive nature.
The Customer agrees to keep the user name and password confidential. The Customer further guarantees that the information supplied to the website is accurate. Falsifying or omitting contact information such as a member’s name, address, and/or telephone number when registering on the website is not permitted. Users are also not permitted to use fax or disconnected numbers as a telephone number. When using this website the Customer must obey all applicable international, federal, state, and local laws.
SOVEREIGN NEEDLEWORK, in its sole discretion, may terminate the Customer’s user registration for violating any SOVEREIGN NEEDLEWORK Policies. The Customer agrees that SOVEREIGN NEEDLEWORK reserves the right at any time with or without the Customer’s prior consent and without liability to the Customer in that regard to delete from the website all personal information, data, text, files, images and all other materials of the Customer and to prevent the Customer from obtaining access to any such data. In particular, it is the absolute policy of SOVEREIGN NEEDLEWORK to reject any materials which, at SOVEREIGN NEEDLEWORK sole discretion, it considers to be obscene, in bad taste or in any other way inappropriate (whether or not to print such materials would be illegal or unlawful).
The Customer agrees to indemnify SOVEREIGN NEEDLEWORK and its affiliates, employees, agents, representatives and third party service providers, and to defend and hold each of them harmless, from any and all claims and liabilities (including legal fees) which may arise from the Customer’s submissions to the website.
